Terms of Service

1. Introduction

Welcome to Marsh Paralegal Services, LLC ("we", "our", "us"). By engaging our services or using our website, you ("Client" or "you") agree to comply with and be bound by these Terms of Service ("Terms"). These Terms outline the scope of services we provide, the terms under which those services are provided, and the responsibilities of both parties.

2. Services Provided

Marsh Paralegal Services, LLC offers professional legal support services, including but not limited to:

  • Land Records Research & Due Diligence

    • Ownership & deed history reports

    • Encumbrance & easement review support

    • Multi-parcel research coordination

    • Development risk flagging & research summaries

  • Litigation Support & Case Infrastructure

    • Discovery tracking & deficiency logs

    • Bates indexing & document control

    • Case timeline creation & issue matrix

    • Deposition exhibit preparation & trial notebook assembly

  • Other paralegal and legal support services as described on our website.

The exact scope of services will be outlined in a separate engagement agreement, which may be customized for each project or retainer.

3. Scope of Engagement

Our services are provided as outlined in the applicable engagement agreement or service contract. Any additional services outside the scope of the agreement will be subject to additional charges and may require a new agreement.

You agree to provide all necessary information and documentation requested by us to perform the services effectively. Failure to provide complete or accurate information may impact the quality and timeliness of our services.

4. Payment Terms

  • Hourly Rate or Retainer Fees: Payments may be based on hourly rates or retainer fees depending on the scope of the services. All rates will be discussed and agreed upon before the commencement of services.

  • Invoices: Invoices will be issued monthly, and payment is due within 10 days from the invoice date, unless otherwise agreed in writing.

  • Late Fees: If payment is not received within 10 days from the invoice date, a late fee of 5% of the outstanding amount will be applied.

  • Payment Methods: Payments can be made by:

    • Check

    • Online Payment (Credit Card)

    • Bank Transfer

    • Zelle

    • Venmo

5. Insurance

Marsh Paralegal Services, LLC maintains Errors & Omissions (E&O) Insurance to provide coverage for any potential errors in the services we provide. This insurance is designed to protect both the client and us in the event of mistakes made during the course of our work.

However, the Errors & Omissions Insurance coverage does not extend to:

  • Any errors or omissions resulting from incomplete or inaccurate information provided by you.

  • Losses or damages beyond the scope of our services as defined in the engagement agreement.

You are responsible for ensuring that you provide complete and accurate information related to the services we provide.

6. Confidentiality

We are committed to protecting the confidentiality of all client information. Any information provided by you for the purpose of our engagement will be treated as confidential, except where disclosure is required by law or as outlined in the applicable engagement agreement.

You acknowledge that while we will make every effort to maintain confidentiality, we cannot guarantee absolute security of your information due to potential risks associated with digital communication and storage.

7. Limitation of Liability

To the fullest extent permitted by law, Marsh Paralegal Services, LLC will not be liable for any direct, indirect, incidental, special, or consequential damages, including loss of profits, arising out of or in connection with the use of our services or website.

Our total liability to you for any claims, losses, or damages under these Terms will not exceed the total amount you have paid for the specific services provided by us during the 12 months prior to the event giving rise to the claim.

8. Intellectual Property

Any materials, documents, or intellectual property created or provided by us during the course of providing services shall remain the property of Marsh Paralegal Services, LLC, unless otherwise agreed upon. You are granted a non-exclusive, non-transferable license to use the materials for their intended purposes under the terms of the engagement agreement.

9. Indemnification

You agree to indemnify, defend, and hold harmless Marsh Paralegal Services, LLC, its employees, agents, and affiliates from any claims, liabilities, damages, or costs arising out of your use of our services, including any breach of these Terms or any laws, regulations, or third-party rights.

10. Termination of Services

Either party may terminate the agreement by providing written notice to the other party. Upon termination, you will be responsible for paying any outstanding fees for services rendered up to the date of termination.

We reserve the right to suspend or terminate services immediately in the event of non-payment or a breach of these Terms.

11. Dispute Resolution

Any disputes arising out of or related to these Terms or the services provided shall be resolved through mediation or arbitration in the jurisdiction of Virginia. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs incurred in connection with the dispute.

12. Changes to Terms

We reserve the right to update or modify these Terms of Service at any time. Any changes will be posted on this page with an updated "Effective Date." By continuing to use our services after any such changes, you accept the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.

14. Miscellaneous

  • Severability: If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

  • Entire Agreement: These Terms, together with any applicable engagement agreements or contracts, constitute the entire agreement between you and Marsh Paralegal Services, LLC.
